I. Composition of the Name
A name is generally composed sequentially of four parts: administrative region + business name + industry characteristics + organizational form, or business name + (Beijing) + industry characteristics + organizational form.
1. The administrative region in an enterprise name refers to the name or geographical location of the county-level or higher administrative region where the enterprise is located;
2. Enterprises that meet the following conditions can place the administrative region in the name after the business name and before the organizational form:
① Use the business name from the holding enterprise name;
② Foreign-funded sole proprietorship enterprises using the business name of foreign (regional) investment enterprises may use the phrase [(China Business Registration Enterprise Network [http://www.chinacarveout.com])] in the middle of the name:
II. Business Name
The business name in a company registration name should be composed of more than two Chinese characters. Administrative regions cannot be used as business names, except when the county-level or higher administrative region has other meanings. Enterprise names can use the names of natural person investors as business names.
III. Industry
1. The industry description in an enterprise name should reflect the nature of the enterprise's economic activities belonging to the national economy industry or the characteristics of the enterprise's operations. The content of the industry terminology in the enterprise name should be consistent with the scope of the enterprise's operations. For limited liability companies registered whose economic activity nature belongs to different major categories of the national economy industry, they should choose the main economic activity nature related national economy industry category terminology to describe the industry in the enterprise name.
2. If an enterprise does not use national economy industry category terminology to describe the industry it engages in, it must meet the following conditions:
(1) The enterprise's economic activity nature respectively belongs to five or more major categories of the national economy industry.
(2) The enterprise's registered capital (or registered funds) is over 1 billion RMB or it is the parent company of an enterprise group.
(3) The business name in the enterprise name registered or approved by the same administration for industry and commerce is not the same.
3. To reflect its operational features, an enterprise can use the name of a country (region) or the geographical name of a county-level or higher administrative region after the business name in its name. These geographical names are not considered as administrative regions in the enterprise name.
4. An enterprise name shall not or imply business beyond its scope of operations.
IV. Organizational Form
For enterprises applying for registration under the "Company Law of the People's Republic of China", "Law of the People's Republic of China on Sino-Foreign Equity Joint Ventures", "Law of the People's Republic of China on Sino-Foreign Cooperative Joint Ventures", "Foreign-Invested Enterprise Law of the People's Republic of China", their organizational forms are Limited Company (Limited Liability Company) or Joint Stock Company; For enterprises applying for registration under other laws and regulations, their organizational forms cannot be [Limited Company (Limited Liability Company)] or [Joint Stock Company]. Non-company enterprises can apply to use [Factory], [Shop], [Department], [Center] etc., as the organizational form of the enterprise name.
V. Management Level
Administration for Industry and Commerce implements hierarchical registration management for enterprise names.
The jurisdiction range of the State Administration for Industry and Commerce includes:
(1) Names prefixed with [China], [Chinese], [National], [State], [International];
(2) Names using [China], [Chinese], [National], [State] etc., in the middle;
(3) Names without administrative regions.
The jurisdiction range of municipal business registration includes:
(1) Enterprises approved by the municipal government or reviewed and agreed upon by the industry department for establishment by various government departments;
(2) Enterprise groups;
(3) Enterprises exclusively engaged in import-export business, labor dispatch business, overseas contracting engineering, or asset appraisal agencies, capital verification agencies, auditing agencies, pawn institutions, SME credit guarantee agencies, business registration agency institutions, professional brokerage organizations, private entry-exit intermediary institutions, overseas employment intermediary institutions, talent intermediary institutions, credit reporting agencies;
(4) Joint-stock limited companies;
(5) State-owned sole proprietorship companies;
(6) Limited liability companies with registered capital of 500.1 million RMB (inclusive) or more;
(7) Sole proprietorship enterprises with investment amount of 500.1 million RMB (inclusive) or more;
(8) Foreign-invested enterprises.
The jurisdiction range of business registration in various districts and counties includes:
Handling the name registration of other enterprises outside the above-mentioned enterprises, domestic-funded enterprise branches, and individual businesses. The division reviews and approves based on the reconsideration opinion of the city bureau.
VI. Approval Procedure
Name Pre-Approval Registration Procedure:
To handle name pre-approval registration, the following steps are usually required:
Step One: After consultation, obtain and fill out the 'Name Pre-Approval Application Form', 'Designated (Entrusted) Letter', while preparing relevant materials;
Step Two: Submit name registration materials and receive the 'Name Registration Acceptance Notice' awaiting name approval results;
Step Three: Collect the 'Enterprise Name Pre-Approval Notice' on the date specified in the 'Name Registration Acceptance Notice'.
