Patent Rights Transfer Agreement

WHEREAS JAMES SMITH on the ___ day of ___ in the year ___, in the city of ___, ___ (Country), obtained a patent for improvements on ___, the number of said patent being ___; and

WHEREAS JAMES SMITH is the sole owner of said patent and invention; and

WHEREAS RICHARD ROE, residing in the city of ___, ___ (Country), is desirous of acquiring all rights to said patent,

NOW THEREFORE, in consideration of the sum of ___ dollars paid to me by said RICHARD ROE, receipt of which is hereby acknowledged, I, JAMES SMITH, do hereby sell, assign, and transfer unto RICHARD ROE all my right, title, and interest in and to said patent and improvements, together with the original Letters Patent therefor, issued to me as aforesaid.

RICHARD ROE shall be the lawful owner and entitled to all the benefits granted under the terms of said patent. The assignment conveys all the rights and privileges heretofore held by me as if no sale had occurred.
